Terms of Service

INCRIPT INC. – Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the INCRIPT platform, website, applications, and related services (“Services”) provided by INCRIPT Digital Solutions Inc. (“INCRIPT,” “we,” “our,” or “us”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Eligibility and Account Registration

1.1 Organizational Use

INCRIPT is intended for accredited colleges, universities, and authorized post-secondary institutions. By registering, you confirm that you are authorized to act on behalf of your institution.

1.2 Account Creation

To access the Services, institutions must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

1.3 User Roles

Institutions may create multiple user accounts with varying permission levels. You are responsible for ensuring that only authorized personnel access the platform.

2. Use of the Services

2.1 Permitted Use

You may use the Services solely for lawful institutional purposes, including:

  • Creating, managing, and storing academic transcripts
  • Processing student transcript requests
  • Managing campuses, programs, and user roles
  • Accessing reporting, audit logs, and administrative tools

2.2 Prohibited Use

You agree not to:

  • Use the Services for unlawful or unauthorized purposes
  • Attempt to access data belonging to another institution
  • Reverse engineer, modify, or disrupt the platform
  • Upload malicious files or harmful code
  • Misrepresent your identity or institutional affiliation

Violation of these restrictions may result in suspension or termination.

3. Data Ownership and Privacy

3.1 Institutional Data Ownership

All academic records, transcripts, and institutional data uploaded to INCRIPT remain the property of the respective institution.

3.2 Student Data

Institutions are responsible for ensuring that student information uploaded to the platform complies with applicable privacy laws.

3.3 Privacy Policy

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect personal information. By using the Services, you acknowledge that you have reviewed and accepted the Privacy Policy.

4. Data Storage and Security

4.1 Canada-Only Data Storage

All personal and institutional data is stored and processed exclusively within Canada on secure, compliant infrastructure.

4.2 Security Measures

We implement industry-standard safeguards, including encryption, access controls, MFA, and continuous monitoring. While we take reasonable measures to protect your data, no system is completely immune to risks.

4.3 Institutional Responsibilities

You are responsible for:

  • Maintaining secure user access practices
  • Ensuring authorized use of accounts
  • Reporting suspected breaches or unauthorized access

5. Service Availability and Support

5.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance may occur with reasonable notice.

5.2 Technical Support

Support is available through designated communication channels. Response times may vary based on issue severity.

6. Fees, Credits, and Payments

6.1 Credit-Based Billing

INCRIPT does not charge subscription fees. Institutions purchase credits, which are used to process transcript requests and access certain platform features.

6.2 Payment Processing

Payments are processed through secure, PCI-compliant third-party providers. INCRIPT does not store full credit card details.

6.3 No Refunds for Credits

All credit purchases are final. Credits are non-refundable, non-transferable, and cannot be exchanged for cash or other value. Once credits are purchased and added to an institution’s account, no refunds will be issued under any circumstances, including unused or partially used credits.

By purchasing credits, your institution acknowledges and agrees that all sales are final.

6.4 Non-Payment

Failure to pay applicable fees may result in suspension or termination of Services.

7. Intellectual Property

7.1 INCRIPT IP

All platform components—including software, interfaces, branding, documentation, and underlying technology—are the exclusive property of INCRIPT.

7.2 Limited License

We grant you a non-exclusive, non-transferable, revocable license to use the Services for institutional purposes.

8. Termination

8.1 By the Institution

You may discontinue use of the Services at any time. Certain obligations, including payment and data retention requirements, may continue after termination.

8.2 By INCRIPT

We may suspend or terminate access if:

  • You violate these Terms
  • You misuse the platform
  • Required payments are not made
  • Continued access poses a security or legal risk

8.3 Data Handling Upon Termination

Upon termination:

  • Institutions may request export of their data
  • INCRIPT will retain or delete data in accordance with legal requirements and the Privacy Policy

9. Limitation of Liability

To the fullest extent permitted by law, INCRIPT is not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data not caused by our negligence
  • Downtime, service interruptions, or delays
  • Actions taken by unauthorized users with valid credentials

Your exclusive remedy for dissatisfaction with the Services is to discontinue use.

10. Indemnification

You agree to indemnify and hold INCRIPT harmless from claims, damages, losses, or expenses arising from:

  • Misuse of the Services
  • Violation of these Terms
  • Uploading inaccurate, unauthorized, or unlawful data

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
